신세계그룹과 알리바바 인터내셔널이 합작한 조인트벤처(JV)의 이사회가 공식 출범했다. 신세계-알리바바 JV는 최근 주주총회를 열고 이사회 멤버를 선임한 뒤 첫 이사회를 개최했다. 이사회 의장에는 정용진 신세계그룹 회장이 선임됐다.
지마켓을 자회사로 두는 JV의 이사회 의장을 정 회장이 맡은 것은 알리바바와의 협업을 기반으로 지마켓의 재도약을 이끌겠다는 강한 의지를 반영한 것으로 풀이된다. 정 회장은 “신세계그룹과 알리바바가 손잡은 JV가 국내외 이커머스 시장을 선도할 수 있는 기반을 다져나갈 것”이라고 밝혔다.
알리바바 측에서는 제임스 동 AIDC(Alibaba International Digital Commerce) 인터내셔널 마켓플레이스 사장이 이사회 멤버로 참여했다. 제임스 동 사장은 알리바바그룹의 해외 이커머스 사업을 총괄하는 핵심 인물이다.
이번 이사회 구성에는 양대 주주인 신세계그룹과 알리바바 인터내셔널의 최고 경영진이 직접 참여해 양사가 긴밀한 협력을 통해 실질적 성과를 내겠다는 의지를 드러냈다. JV를 구성하는 지마켓과 알리익스프레스 코리아의 대표들도 이사회에 이름을 올렸다. 장승환 지마켓 대표와 레이 장 알리익스프레스 대표는 이사회 멤버로 참여하는 동시에 JV의 공동 대표를 맡는다.
이사회 멤버는 아니지만, JV의 실무 운영을 총괄할 최고재무책임자(CFO)에는 이마트 재무담당이었던 장규영 상무가 선임됐다.
한편, JV 이사회는 주요 사안에 대한 의사결정을 ‘만장일치’ 원칙으로 진행하기로 했다. 치열한 논의를 통해 어느 한쪽에 치우치지 않고 양측 모두가 윈윈할 수 있는 비전을 설계하겠다는 취지다.
